R&W insurance policies insure against unknown breaches of certain representations or warranties made by sellers in purchase agreements that govern mergers and acquisitions. BlueChip concentrates on U.S. middle market transactions. Transactional risk underwriting requires considerable analysis and precision but must never slow down the underlying transaction.

BLUECHIP’S UNDERWRITING PROCESS FOR R&W INSURANCE INVOLVES:

• An extensive and bespoke review – prior to engagement – assessing risks of each transaction, incorporating multiple team members’ diverse experience and backgrounds on each deal.
• Upon engagement, our underwriting team reviews due diligence reports, drafts of the transaction documents, and files in the transaction virtual data room.
• BlueChip takes ownership of and leads an approximately ninety-minute underwriting call with the buyer and its third-party advisors.
• Following the underwriting call and prior to signing, our team works expeditiously and communicates effectively with clients, law firms, and brokers to have your BlueChip Policy ready to bind at transaction signing.
• When needed, our claims team works diligently to make the claims process as efficient as possible.
